About Us

In the wake of the global financial crisis, banks and financial services faced increasing regulatory scrutiny, making compliance more complex. Recognizing the gap in accessible, specialized guidance and tools, a group of experienced compliance professionals—with decades of serving experience with global financial institutions in India and abroad—saw the need for a dedicated platform to provide the expert support. Thus, In 2020, was born Compliance Matters, a niche advisory and solutions firm, engaging with leading global and local clients in India, offering tailored compliance services to banks, financial services firms, and fintechs.

Arun Kamath

Principal

Arun Kamath, an accountant by training and an ex-banking regulator (10 years with the Reserve Bank of India in various  regulatory and supervisory roles), has spent the next two+ decades in two international banks in country,  regional, and global Compliance roles.

As part of the Global Compliance Management of Deutsche Bank (until 2018) Arun was heading a global team, advising  and helping management of risks around regulatory adherence and business conduct in the transaction/ commercial  banking business. 
 

Prior to that, as Asia Pacific Compliance Leader, his mandate included country and regional  compliance roles covering South/South East Asia countries and leading the Compliance Function for the Asia Pacific  Transaction and Retail banking businesses. Previously, he was at American Express Bank helping set up and run an  assurance program over the controls and compliance framework of the then bank in India.

Theresa Karunakaran

Partner & Regulatory Affairs Lead

Theresa Karunakaran has a rich experience of over 36 years with the Reserve Bank of India and has worked in key areas  specializing in the regulation and supervision of banks, foreign exchange, and non-banking finance companies. She was  a key member of the First International Team constituted by the Financial Stability Board to assess the Bank of Mauritius'  compliance with Basel Core Principles. She has collaborated extensively nationally and internationally as a member of  policy Working Groups in the RBI and as an RBI Representative in interactions with the Ministry of Finance and World  Bank.
 

Upon retiring as General Manager of RBI, she subsequently managed regulatory affairs as an Adviser for Regulatory  Matters at Axis Bank till 2015 and since, served as Director of Regulatory Affairs at Deutsche Bank AG India till 2020. She is  a key resource person for Global Counter-Terrorism Council (GCTC), and FCAP Certification Program in AML for  bankers/auditors from Asia. She has also authored a white paper on Risk Based Supervision which was published by Fintelekt.

Mangesh Jadhav

Partner

Mangesh Jadhav, a veteran banker with expertise in matters pertaining to Regulatory Compliance, Financial Crime, and  Governance built up over 25 years across various banks including Citibank, Westpac, Deutsche Bank, Standard Chartered,  ICICI, and MUFG, supporting Corporate and Retail Banking.

He counts among his accomplishments the integral role he played in strengthening the Compliance and Governance  standards at Westpac Banking Corporation in India as the Head of Regulatory and Financial Crimes Compliance and  Board Member.

As Vice President at Deutsche Bank, he set up a centralized Compliance Hub for the bank in Germany, a  first of its kind, and was also the driving force behind the implementation of the Risk Based Supervision framework. His  all-round experience in banking activities coupled with the extensive regulatory interface he has managed puts him in a  unique position to advise on effectively responding to ongoing regulatory challenges and expectations.

Veena Gadia

A Chartered Accountant with over 25 years of experience in banking and finance, Veena is a seasoned professional in regulatory compliance, internal control, and governance. Recently, as Executive Director and Head of Compliance for Nomura Group in India, and as a part of the Executive Committee, Veena has developed and implemented robust compliance programs, ensuring that her organization meets all regulatory requirements. Veena's work with Nomura and previously with other leading financial institutions, including Commerzbank AG, Bank of America, and Deutsche Bank, has provided her with a wide-ranging understanding of the regulatory landscape around the financial/securities markets.
 

She has worked extensively on compliance issues related to capital markets trading, research, sales and marketing, anti-  money laundering, compliance oversight on offshoring operations, and more. Her expertise in compliance, risk management, and internal control has enabled her to help financial institutions navigate complex regulatory  requirements, prevent costly penalties, and safeguard against reputation risks. Veena's long-standing relationships across  the BFSI industry, her deep understanding of regulatory expectations/obligations, and her leadership in developing and  implementing effective compliance programs will therefore be invaluable to our clients.
